Private Equity

Scepticism of private equity still runs deep among many entrepreneurs as they weigh whether the potential advantages PE partners bring to the table justify diluting their financial interest and control. Can PE firms and the companies they are courting bridge the gap? The answer, undoubtedly, is yes. Structured Finance

When more conventional methods of obtaining a business loan are either undesirable or not possible, there is always the option of structured finance. Structure finance essentially is the process of making a loan based on a strong performance in cash flow in the past. Rather than other assets being used as collateral for the loan, funds are advanced based on the history that indicate a consistent flow of cash into the borrower’s business that will allow for the timely and orderly amortization.

Key motivations for using structured finance include lowering funding costs, changes in debt and equity composition of the balance sheet, taking companies public or private, freeing up balance sheet capacity, monetizing balance sheet assets, financing assets, regulatory capital arbitrage, sheltering corporations from operating liabilities, tax management, financing leveraged buyouts, poison pill takeover defenses. The structures can address several issues at once including risk transfer, accounting, taxation, bankruptcy and credit enhancement.

M&A and JV

DeConseil offers complete end-to-end buy-side and sell-side M&A and JV advisory services. The core activity is to identify, unlock and execute M&As, JVs and commercial alliances

50% of M&As fail to create value and poor planning is blamed for half of those "failures". We assist our clients by undertaking pre-merger planning, setting strategic goals, identifying targets, working out synergies, conducting valuation as well as post-merger assistance in the form of integrating operations, human resources and accounting systems. We also assist in deal negotiation, the vital phase in any M&A activity.

We prepare structuring models, term sheets and also carry out deal negotiation to create the most effective transactions. DeConseil works very closely with the client’s team in ensuring a smooth and result oriented closure of the M&A transaction within aggressively defined time lines.
